Agreement
These Terms of Service (“Terms”) govern your use of phormlabs.com (the “Site”) and any purchase of products from PHORM Labs LLC (“Phorm,” “we,” “us,” or “our”). By accessing the Site or placing an order, you agree to these Terms. If you do not agree, do not use the Site.
Eligibility
To use the Site or purchase products, you must:
- Be at least 21 years of age
- Have full legal authority to enter into a binding contract
- Be acquiring products solely for in-vitro research and laboratory investigation
- Affirm that you will not use products for human or animal consumption
- Comply with all applicable federal, state, and local laws
Research Use Only
All Phorm Labs products are sold strictly for in-vitro research and laboratory investigation. Products are not:
- Approved drugs, food, cosmetics, or dietary supplements
- Intended for human use
- Intended for veterinary use
- Intended to diagnose, treat, cure, or prevent any disease
By placing an order, you affirm that you understand and accept these limitations.
Orders and Pricing
All prices are listed in U.S. dollars. Prices and product availability may change without notice. We reserve the right to refuse or cancel any order, including but not limited to orders that appear fraudulent, violate these Terms, or are placed in jurisdictions where the products are restricted.
Order acceptance occurs when we send a shipping confirmation. Until shipment, we may cancel any order at our discretion.
Payment
We accept payment through our authorized payment partners. Payment is due in full at the time of order placement. You represent that you have the legal right to use any payment method submitted.
Shipping and Risk of Loss
Title and risk of loss pass to you upon delivery to the shipping carrier. See our Shipping Policy for delivery details, lead times, and damage claim procedures.
Returns and Refunds
Returns are governed by our Refund Policy. Due to the nature of research compounds and insulated shipping, returns are limited.
Intellectual Property
All content on the Site — including text, graphics, logos, the PHORM brand, product photography, COAs, and code — is the property of PHORM Labs LLC or its licensors and is protected by U.S. and international intellectual property laws. You may not copy, reproduce, distribute, or create derivative works without written permission.
User Accounts
If you create a researcher account, you are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at support@phormlabs.com if you suspect unauthorized access.
Prohibited Conduct
You agree not to:
- Misrepresent your age, identity, or intended use of products
- Resell products to consumers as drugs, foods, cosmetics, or supplements
- Use the Site to transmit malicious code, conduct fraudulent activity, or harvest data
- Reverse engineer, decompile, or attempt to extract source code from the Site
- Submit false reviews, comments, or feedback
- Use products in violation of any law or regulation
Disclaimers
The Site and products are provided “AS IS” without warranty of any kind, except as expressly stated on a Certificate of Analysis (COA). To the maximum extent permitted by law, Phorm disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
Phorm does not warrant that the Site will be uninterrupted, error-free, or free of viruses.
Limitation of Liability
To the maximum extent permitted by law, Phorm’s total liability arising from or related to any product purchase or use of the Site will not exceed the amount you paid for the specific product giving rise to the claim. Phorm will not be liable for indirect, incidental, special, consequential, or punitive damages.
Indemnification
You agree to indemnify, defend, and hold harmless PHORM Labs LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your breach of these Terms, your misuse of products, or your violation of any law.
Governing Law and Disputes
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles. Any dispute will be resolved exclusively in the state or federal courts located in Philadelphia County, Pennsylvania, and you consent to the personal jurisdiction of those courts.
Changes
We may modify these Terms at any time by posting an updated version on the Site. Continued use after changes are posted constitutes acceptance.
Severability
If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
